Claude AI developer Anthropic has confidentially filed to go public, setting the stage for a likely record-setting IPO later this year. The company, which is valued at close to $1 trillion, submitted a draft registration statement to the U.S. Securities and Exchange Commission for a proposed initial public offering. Anthropic has yet to list the number of shares or set the price. Anthropic said the proposed initial public offering will depend on market conditions and other factors.

“This gives us the option to go public after the SEC completes its review,” Anthropic said in a statement on Monday. “The proposed initial public offering will depend on market conditions and other factors.”

Last week, Anthropic officially passed OpenAI as the world’s highest-flying A.I. start-up with $65 billion in new financing that valued it at $900 billion before the inclusion of the new capital. Anthropic’s filing also comes as its rival OpenAI continues to raise funding, notably a $122 billion round in March at an $852 billion post-money valuation, and prepares for its own IPO. OpenAI is expected to file for an initial public offering, setting the stage for an IPO season that will pit the two largest AI labs against each other and test the market’s resolve and interest in artificial intelligence.

Furthermore, the Anthropic IPO would also provide the first concrete window into the company’s financial data. Anthropic’s valuation has soared this year, jumping from $380 billion in February to $965 billion in May, and it’s struck deals with tech giants worth billions. It said in April, for example, that it’s committing more than $100 billion to AWS technology to train and run its popular Claude AI agent.

Anthropic, SpaceX, and OpenAI are slated to make 2026 one of the biggest IPO years in history.
